Sales tax nexus after Wayfair for agencies in Washington and Illinois

Washington and Illinois treat agency revenue differently after Wayfair. Here is how each state's thresholds, B&O tax and digital rules work.

What to take away

  • Wayfair let states tax you on sales alone, so a Seattle client and a Chicago client can both create filing duties with no office in either state.
  • Washington's economic nexus line is $100,000 in gross retail sales into the state, and digital products count toward it.
  • Washington B&O tax is a separate gross receipts tax measured on a different base, so you can owe it while sitting under the retail sales threshold.
  • Illinois tests remote retailers at $100,000 in cumulative gross receipts or 200 or more separate transactions in the preceding four quarters.
  • Illinois taxes specified digital products but generally leaves professional services alone, so a custom build and a downloadable template are not the same transaction.
  • Both states assign your filing frequency from expected liability, and both require a return for periods with no sales.

Why web design agency owners need this

This site tracks how web design agencies run, from the first client call to the final invoice. Sales tax nexus belongs in that operations stack. It decides whether a project in Washington or Illinois carries a filing duty, which changes your pricing, your calendar and your margins.

A designer with a gallery of client work across state lines still has to watch gross sales by state. Treat the tax map as part of agency operations, not as a separate accounting problem. Your CPA handles the filing, but your pipeline and quote decide when it starts.

What Wayfair actually changed

Before 2018 a state needed a physical presence to require collection: an office, a server, an employee. South Dakota v. Wayfair, Inc. removed that requirement. Economic activity alone can now trigger collection duties.

Physical presence still creates nexus on day one. One designer working from a spare room in Spokane is enough. A contractor who works only for you may count in some states, so classify workers with your CPA.

Economic nexus is the newer exposure. It is measured against sales into the state, sometimes against a count of separate transactions. Cross the line and collection usually starts with the next period.

Two things separate agencies from ordinary retailers. Services and digital goods are treated differently in every state, and agency revenue is a mix of consulting, hosting, licensing and productized templates.

That mix is why one nexus test will not cover you. You can sit under the threshold for one tax and over it for another. Track sales into each state by category, not by total.

The decision did not create a national rule. It handed the thresholds to the states, and the states diverged. Washington and Illinois need separate treatment, not a shared checklist.

For owners weighing a new market, the tax map now sits beside market size. Our expansion and market guide covers how to judge a state before you register there.

Washington: the $100,000 line and what counts

Washington Economic Nexus

  • $100,000gross retail sales threshold
  • 0transaction count alternative
  • Current or priorcalendar year measured

The threshold counts retail sales, which is wider than it sounds. Washington's economic nexus rule for the retail sales tax (chapter 82.08 RCW) treats digital goods, digital codes and digital automated services as retail sales. A site built for a Washington client, a template sold through a checkout, or a subscription to hosted tools can all land inside that definition.

Custom design work is the grey area. Washington taxes retail sales of tangible personal property and specified digital products, while pure professional services are treated differently. The line falls between selling a finished digital asset and selling your time to produce one.

Hand over files, code or a hosted product and expect retail treatment. Bill for consulting hours where the client owns the process and the analysis changes. Write down which one each contract is.

The threshold is measured on gross sales, not profit. A $120,000 year with heavy subcontractor costs still crosses it. That catches agencies that think of themselves as small.

Remote staff open a second path. An employee living in Washington gives you physical presence from their first day, whatever your sales volume. That covers designers, developers and support staff.

Washington sales and use tax rates vary by address, so the rate you charge follows the delivery location, not your office. Rates stack state, county and city components and move over time. Check current Sales & use tax rates before you quote.

Use tax runs alongside. Buy equipment or software without paying Washington sales tax and use it in the state, and use tax may apply at the same rate. Agencies buying laptops for remote Washington staff should track it.

Pricing is where this bites quietly. A quote that ignores tax becomes a thinner margin once you remit. The pricing and profit guide shows how to build tax into a rate card instead of absorbing it.

Washington B&O tax: the tax that ignores your costs

Washington B&O tax is a gross receipts tax on the value of products and services you sell in the state. It allows no deduction for salaries, rent or subcontractors. It is separate from retail sales tax, and you can owe both.

The rate depends on classification. Service and other activities income carries one rate; retailing carries another. Most agencies have both, retailing on product sales and service income on consulting and custom work.

Because B&O is measured on gross receipts, a thin project can produce tax larger than its profit. A $50,000 project with $45,000 of subcontractor cost still carries B&O on the full $50,000.

The Multiple Activities Tax Credit exists to stop the same gross receipts being taxed twice when you both build a product and sell it. Ask your CPA about the credit rather than assume it.

The small business credit can reduce or wipe out B&O for smaller operations. Eligibility turns on taxable gross income and phases out as income rises. It credits B&O, not retail sales tax.

Retail sales tax is collected from the customer and passed through. B&O comes out of your own revenue. Treating them as one number is how agencies underprice.

Read the state's own explanation of Business & occupation tax before setting rates, because the classification drives the number more than the headline rate.

Your ledger has to split these streams. Lumping retailing and service income together makes accurate filing impossible and forfeits the credit. Our web design agency services piece covers how to lay out the chart of accounts.

Illinois: the $100,000 or 200-transaction test

Illinois applies economic nexus differently from Washington, and the tests are not identical across tax types. For remote retailers, including sellers of specified digital products, the threshold is $100,000 in cumulative gross receipts or 200 or more separate transactions in the preceding four calendar quarters, under the Leveling the Playing Field for Illinois Retail Act. Cross it and you register, then collect retailers' occupation tax and use tax on taxable sales into the state.

Illinois Digital Product Test

What transfers to the buyer?

Yes

specified digital product treatment

No

service treatment

Illinois taxes specified digital products, defined in the Retailers' Occupation Tax Act as digital audio works, digital audiovisual works and digital books transferred electronically. Whether a site build or a design file falls inside it depends on what actually transfers to the buyer.

Services are generally treated differently from digital products. Illinois does not impose a broad tax on professional services the way it taxes retail sales of goods. That distinction is the main planning point.

A custom site delivered as a service is a different transaction from a downloadable template sold through a store. The first leans toward service treatment, the second toward specified digital product treatment.

Illinois also layers local retailers' occupation tax and use tax, the state taxes set out in the Retailers' Occupation Tax Act and the Use Tax Act, so the combined rate varies by location. Remote sellers generally use destination based sourcing, which means the customer's address sets the rate.

Physical presence still creates nexus. A remote employee, or a coworking desk used regularly, can establish it. Contractor relationships need review, because Illinois has its own tests for when a worker creates presence.

Marketplace rules add a layer. Sell templates through a platform that collects and remits for you and that platform may handle the tax, but you still need records showing which sales ran through it.

Because the rules split by tax type, register when you are close to a threshold and track each revenue stream separately. Guessing at one number is how agencies end up with unfiled periods.

Registering in Washington

Washington registration runs through the Department of Revenue's business licensing system. You apply for a business license and, if you will collect retail sales tax, a sales tax permit endorsement. The tax registration itself carries no fee.

You need your federal employer identification number, your entity details, and the date you began or expect to begin taxable activity. Have last year's Washington sales figures ready, because the application asks for them.

After registration you receive an account ID and filing instructions. The state assigns a filing frequency from your estimated liability, and monthly, quarterly and annual schedules all exist. It can move you between them as volume changes.

Filing happens online through My DOR. Returns cover retail sales tax and B&O tax together, and you file even for periods with no taxable activity. A zero return is still a return.

Washington Registration Steps

  1. Gather EIN, entity details, sales figures
  2. Apply for business license and sales permit
  3. Record account ID and filing frequency
  4. Set up My DOR and tax classifications
  5. File first return on schedule

Due dates follow your frequency, and late filing brings penalties and interest. The state publishes Filing frequencies & due dates that belong in your calendar tool, not in a drawer.

If you already hold a Washington business license for another activity, you may only need to add the tax endorsement. Check before you duplicate an account.

Registering in Illinois

Illinois registration runs through the Department of Revenue. Retailers and remote retailers that need to collect use the Illinois Business Registration Application, and the state issues a Certificate of Registration once it approves.

Illinois Registration Steps

  1. Gather EIN and business structure
  2. Identify tax types to remit
  3. Submit Business Registration Application
  4. Receive Certificate of Registration
  5. Confirm filing frequency in writing

You need your federal employer identification number, your business structure, and the tax types you expect to remit. Illinois asks you to identify those types, so decide between retailers' occupation tax, use tax, or both before you start.

The state may ask for a bond in some cases, particularly for certain tax types and histories. Most small agencies will not need one, but confirm during the application rather than after.

Filing frequency is assigned from expected liability. Returns are filed electronically through MyTax Illinois, the state's own portal. As in Washington, zero periods still require a return.

Illinois runs a rolling schedule of due dates tied to the filing period. Monthly filers generally file the following month, while quarterly and annual filers get longer windows. Confirm your assigned schedule in writing after registration.

Local tax adds complexity. Some Illinois jurisdictions administer their own taxes and the state administers others. Remote sellers generally source to destination, so the customer's location sets the rate.

Keep Illinois records apart from Washington records. Different bases, different rates, different definitions. One spreadsheet that mixes them will fail an audit on both sides.

Building the compliance calendar

A compliance calendar is the difference between a manageable tax bill and a surprise assessment. Build it around registration dates, filing frequencies and threshold monitoring, not around the federal tax year.

Read the Illinois row with one number in mind: the $100,000 or 200-transaction test for remote retailers. What varies is which tax the threshold triggers — retailers' occupation tax, use tax, or both — and whether what you sell is a specified digital product or a service.

Put every due date in one shared calendar with two reminders, one a week ahead and one two days ahead. Assign an owner. Unassigned deadlines slip.

  • Threshold tracker updated with last month's sales by state and category
  • New remote hires checked for physical presence in their state
  • Contractor agreements reviewed against state worker tests
  • Registration confirmed in every state where a threshold was crossed
  • Filing frequency and due dates recorded for each state account
  • Zero returns filed for quiet periods
  • Exemption certificates collected from exempt clients and stored

Review the tracker against your pipeline each quarter. If a new client will push you over a threshold, register before the first invoice rather than after the audit letter.

Price for the work, not for the tax. Rates that ignore collection duties shrink once you remit. Our guide to prices that cover costs covers building overhead into quotes.

Geography matters too. Some states are friendlier to remote agencies than others, and the tax map is one input among several. The markets for web design agency review looks at where demand and compliance cost line up.

Get help before the first filing, not after. A CPA who works with digital agencies costs less than a penalty and interest bill, and will tell you which registrations you can skip.

Common questions

Does Wayfair apply to an agency with no office in the state?

Yes. The decision removed the physical presence requirement for collection duties, so economic activity alone can create nexus. An agency with only remote clients in a state can still have to register and collect.

What is Washington's economic nexus threshold for an agency?

Washington uses $100,000 in gross retail sales into the state in the current or prior calendar year, with no transaction count test. Digital products count toward that figure as retail sales.

Do I owe Washington B&O tax if I am under the sales tax threshold?

Possibly. B&O is a separate gross receipts tax with its own nexus analysis, and it reaches service income as well as retailing. The small business credit may reduce it for smaller operations.

Does Illinois tax the websites my agency builds?

It depends on what you transfer. Illinois taxes specified digital products, while professional services generally sit outside retail sales tax. A custom build billed as a service is treated differently from a downloadable template.

How often do I file once registered in Washington or Illinois?

Both states assign a frequency from expected liability, typically monthly, quarterly or annual. Washington publishes its schedules and Illinois confirms yours after registration. Zero periods still require a return.
